CCI approves acquisition by Integrace Private Ltd of share capital of Universal Nutriscience and certain related transaction

The Competition Commission of India (CCI) has approved the acquisition by Integrace Private Limited of share capital of Universal Nutriscience Private Limited and certain related transaction.

The Proposed Combination contemplates the acquisition by Integrace Private Limited (Integrace) of share capital of Universal Nutriscience Private Limited (UNS) from its existing shareholders and certain related transaction.

Integrace is an orthopaedics and gynaecology-focused domestic formulations company. It has a portfolio of 20+ products catering to pain management, pregnancy and women’s health. Integrace has specialist coverage base of healthcare professionals across orthopaedics and gynaecologists. It is a subsidiary of Morning Waves Investments B.V. (Morning Waves), which is in turn an affiliate of Warburg Pincus LLC and / or its affiliates.

Morning Waves is a holding company, and currently has shareholding only in Integrace.

UNS is a nutraceutical company, focused on nutraceutical and lifestyle products. UNS intends to build new products and novel drug delivery systems.
